Mergers, Acquisitions and Incorporations

The Firm works aiming the complete structuring and development of mergers, acquisitions and incorporations as well as others corporate transactions, such as splits, organization restructuring, minority equity purchase and sell and transfer of assets.

 We prepare the necessary documents for these transactions, specially the agreements made by the parties, and file the appropriate licensing documents before the responsible agencies, monitoring the progress of the bureaucratic proceedings.

Private Equity and Venture Capital

The Firm advises companies which intend to make internal corporate changes to implement corporate governance practices and to organize a partial sell of shares in order to form a private equity or a venture capital fund.

Our work includes the analysis of the applicable legislation to the case, the preparation and the review of all contracts and documents regarding the investment and the adoption of the necessary measures to make regular the operation of our clients’ companies.

Debt Adjustment

The firm also practices in receivership under court supervision and in out-of-court reorganization procedures as well, providing our clients with complete support during the whole process, including the planning that must be delivered to the court in receivership under court supervision cases. We also defend our clients interests against judicial inquiries made by creditors or other involved parties.

 In the other hand, we also advice companies and financial institutions holding claims or credits against companies undergoing receivership under court supervision and out-of-court reorganization procedures, assisting our clients to file their claims in the formation on the recovery plans proposed by the insolvent companies and representing our clients in creditors meetings and before the competent Court.
